What is Non Disclosure Agreement?

A Non-Disclosure Agreement (NDA), also known as a confidentiality agreement, is a legally binding contract between two parties in which one party agrees to keep specific information confidential and not disclose it to others. NDAs are commonly used in business relationships where sensitive information is exchanged, such as when a service provider needs access to a client's data or internal processes.

For example, if a company is implementing CRM software for a client, the service provider may require access to the client's database. In this case, an NDA ensures that the client’s data remains protected and cannot be shared with unauthorized parties. Similarly, employees may be asked to sign an NDA to protect the company's confidential information.

The primary purpose of an NDA is to establish trust and safeguard the confidentiality of shared information. It serves as a legal assurance that the party receiving sensitive information will not disclose it without consent.
